SalvageFlow Pro — Terms of Service

Last updated: September 13, 2026

1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the SalvageFlow Pro web application (the "Service"), operated by FlowWorks ("we", "us", "our"), located at salvageflow-pro.base44.app. By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of the Service

SalvageFlow Pro is a business management software platform for salvage yards, scrap yards, and automotive recyclers. The Service provides scrap ticketing, inventory and vehicle tracking, payout processing, pricing tools, compliance tracking features, and reporting and export capabilities. The Service is a business-to-business tool provided to yard operators and their staff.

3. Eligibility and Accounts

You must be at least 18 years old and operate a lawful business to use the Service. You are responsible for the accuracy of your business information, for safeguarding your login credentials, and for all activity that occurs under your account. You may add staff members to your account and are responsible for their use of the Service.

4. Free Trial

We offer a 30-day free trial with full access to Pro-tier features with no credit card required at signup. You may choose a subscription at any time during or after the trial. If your trial ends without an active subscription, your account will be locked, but your data will be preserved and you can upgrade anytime.

5. Subscriptions and Billing

Plans. The Service is offered in the tiers and prices displayed on our pricing page. Plan features, ticket limits, and overage rates are as published at the time you subscribe.

Ticket limits and overage. Each plan includes a monthly allowance of scrap tickets. Usage above your plan's allowance is billed as overage at the published per-ticket rate. We do not interrupt service mid-period when a limit is exceeded.

Recurring billing. Subscriptions renew automatically each month until cancelled. Payments are processed by Stripe; we do not store your card details.

Upgrades and downgrades. Upgrades take effect immediately and are prorated. Downgrades take effect at the next renewal date. Plan changes are made from the Billing section in Settings.

Failed payments. If a payment fails, we may suspend access to the Service until a valid payment method is provided. Your data will be preserved during any suspension.

Taxes. Applicable sales taxes are calculated and added to your charges.

Reversals and refunds. Charges are non-refundable except where required by law. You may cancel at any time to prevent future charges; cancellation does not refund the current period.

6. Cancellation and Data

You may cancel your subscription at any time from the Billing section or by contacting support. Upon cancellation or account expiration:

  • Access to the Service is locked, but your data is not deleted by us due to cancellation alone.
  • You are responsible for exporting any records you wish to keep. We recommend using the export features before your access lapses.
  • We may delete account data after an extended period of inactivity in accordance with our Privacy Policy and any applicable record-retention laws.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any law, regulation, license, or court order applicable to your business;
  • Misrepresent transaction records, seller identities, vehicle histories, or weights;
  • Upload or store content that infringes the rights of any third party;
  • Interfere with the Service, attempt unauthorized access, or reverse-engineer the Service;
  • Resell or provide commercial access to the Service to third parties except as authorized staff users of your business.

8. Your Compliance Responsibilities (Important)

The Service provides record-keeping, tracking, and export tools intended to help you manage your regulatory obligations. However:

  • We are not a law firm and the Service is not legal or compliance advice.
  • You remain solely responsible for complying with all laws and regulations applicable to your business, including but not limited to NMVTIS reporting requirements, IRS Form 8300 filings, state and local law-enforcement reporting, payment hold periods, seller identification and thumbprint requirements, catalytic converter regulations, environmental permitting (EPA, stormwater, SPCC, refrigerant), and record-retention requirements.
  • The Service does not submit filings to NMVTIS, the IRS, or any government agency on your behalf unless expressly stated in writing for a specific feature. Batch export tools assist your own filing process; verifying and completing filings is your responsibility.
  • We make no guarantee that use of the Service will result in legal compliance. Consult qualified legal counsel regarding your specific obligations.

9. Seller and Third-Party Data

When you use the Service, you may enter personal information about individuals who sell materials or vehicles to you ("Sellers"), including names, addresses, dates of birth, identification documents, photos, thumbprints, signatures, and transaction data. You acknowledge that:

  • You are responsible for having a lawful basis to collect, use, and retain Seller data, and for complying with applicable privacy laws;
  • The Service processes Seller data on your behalf as a data processor, as described in our Privacy Policy;
  • You must collect Seller data only as permitted by the laws of your jurisdiction.

10. Intellectual Property

The Service, including its software, design, and content, is owned by FlowWorks and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during an active subscription or trial. Your data remains yours. Under the Enterprise plan's white-label feature, you may apply your own branding to the user interface; the underlying software remains our property.

11. Third-Party Services

The Service relies on third-party providers, which may include Stripe (payments), Google (authentication), Twilio (SMS delivery), and our hosting provider. Their terms and privacy policies also apply. We are not responsible for third-party service interruptions.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant the Service will be uninterrupted, error-free, or that exported reports will satisfy any regulator's requirements.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWWORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REGULATORY FINES, PENALTIES, OR DATA LOSS ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted in the app with an updated "Last updated" date. Continued use after changes take effect constitutes acceptance.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Any dispute shall be resolved in the state or federal courts located in Monroe County, Tennessee, unless applicable law requires otherwise. If a class action is permitted to proceed, you and we agree it may only be on an individual basis, not as part of a class.
